Terms and Conditions

 

1. Introduction

These terms and conditions (“Agreement”) govern the relationship between Sales Cubes, a consultant sales coach (“Sales Cubes” or “Consultant”) and the client (“Client”) based in Belgium. By engaging Sales Cubes’ services, the Client agrees to be bound by these terms and conditions.

2. Services

2.1 Sales Cubes agrees to provide sales coaching and consulting services (“Services”) to the Client as mutually agreed upon in a separate agreement or statement of work.
2.2 The Services will be tailored to meet the specific needs and objectives of the Client and may include, but are not limited to, sales training, sales strategy development, sales process improvement, and sales team coaching.

3. Obligations of Sales Cubes

3.1 Sales Cubes will perform the Services with reasonable skill, care, and diligence, utilizing its expertise and best practices in the field of sales coaching.
3.2 Sales Cubes will maintain confidentiality of all information shared by the Client during the course of the engagement, subject to any legal obligations.
3.3 Sales Cubes will provide regular progress updates to the Client regarding the Services and promptly address any concerns or issues raised by the Client.

4. Obligations of the Client

4.1 The Client agrees to provide Sales Cubes with all necessary information, data, and resources required for the successful delivery of the Services.
4.2 The Client will cooperate fully with Sales Cubes, providing timely feedback, attending scheduled meetings or sessions, and implementing any recommendations or action plans resulting from the Services.

5. Fees and Payment

5.1 The Client shall pay Sales Cubes the fees as agreed upon in the separate agreement or statement of work.
5.2 Unless otherwise specified, all fees are exclusive of any applicable taxes, which will be the responsibility of the Client.
5.3 Payment terms are as follows: [insert specific payment terms, e.g., due upon receipt, net 30 days].
5.4 In the event of late payment, Sales Cubes may suspend the Services until full payment is received, and may charge interest on the overdue amount at a rate of [insert applicable interest rate] per month.

6. Intellectual Property

6.1 All intellectual property rights in any materials, documents, or deliverables created by Sales Cubes as part of the Services shall belong to Sales Cubes, unless otherwise agreed in writing. 6.2 The Client is granted a non-exclusive, non-transferable license to use such materials solely for its internal purposes and only for the duration of the engagement with Sales Cubes.

7. Limitation of Liability

7.1 Sales Cubes’ liability for any claims, damages, or losses arising out of or in connection with the provision of the Services shall be limited to the total fees paid by the Client under this Agreement. 7.2 Sales Cubes shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, revenue, data, or business opportunities.

8. Confidentiality

8.1 Both parties agree to keep all confidential information received from the other party strictly confidential and not to disclose it to any third party without the prior written consent of the disclosing party. 8.2 This obligation of confidentiality shall survive the termination or expiration of this Agreement.

9. Termination

9.1 Either party may terminate this Agreement by providing written notice to the other party. 9.2 In the event of termination, the Client shall pay Sales Cubes for all Services rendered up to the date of termination. 9.3 Any provisions of this Agreement that, by their nature, should survive termination shall continue to remain in effect.

10. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Belgium. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Belgium.
